Master Services Agreement
This Master Services Agreement ("Agreement") is entered into on [Date] by and between:

1. Services
The Service Provider agrees to provide the services ("Services") described in the Statement of Work ("SOW") attached hereto as Exhibit A.
2. Payment
Client agrees to pay Service Provider the fees ("Fees") as specified in the SOW. Payment terms shall be [Payment Terms] unless otherwise agreed upon in writing.
3. Term and Termination
This Agreement shall commence on [Start Date] and continue until the completion of the Services or termination as provided herein. Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement.

7. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
