Non-Disclosure Agreement

This Non-Disclosure Agreement ("Agreement") is entered into on [Date] by and between:

and

1. Purpose

The purpose of this Agreement is to protect the confidentiality of certain confidential information disclosed during business meetings between the parties.

2. Confidential Information

"Confidential Information" shall mean any information disclosed by the Disclosing Party to the Recipient during business meetings, including but not limited to proprietary business information, financial information, trade secrets, customer lists, and marketing strategies.

3. Non-Disclosure

Recipient agrees to keep confidential and not to disclose or use any Confidential Information except for the purpose of evaluating potential business collaboration between the parties.

4. Exclusions

Recipient's obligations under this Agreement shall not apply to any information that:

(a) is or becomes publicly known through no fault of the Recipient,

(b) is independently developed by the Recipient without reference to the Confidential Information, or

(c) is rightfully obtained by the Recipient from a third party without restriction on disclosure.

5. Term and Termination

This Agreement shall remain in effect for [Duration] from the date of disclosure of the Confidential Information. Either party may terminate this Agreement at any time by providing written notice to the other party.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].

7. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
